Wholesale sales agreement

01Parties

The seller is LA PERISSA TEKSTİL SANAYİ VE TİCARET LİMİTED ŞİRKETİ. The brand is Laperissa. The tax office is Atışalanı and the tax identification number is 6070862440. The LEI is 9845000490DD77E27D76. A MERSIS number and a trade-registry number are not stated here; they have not been confirmed from the company record for publication.

The buyer is a wholesale customer whose membership on this site has been approved. An application alone does not make the applicant a buyer.

02Definitions

• Platform: https://b2b.laperissa.com.
• Catalog product: a style in the current Laperissa collection, manufactured to order.
• Size assortment: ordering every size listed for a style in the same whole quantity.
• Private label: a production request for the buyer’s own brand, reviewed apart from the catalog cart.
• Product subtotal: the TRY value of the product lines, before VAT and before shipping.
• PayTR notification: the provider’s server-to-server result after it has been verified.

03Scope

The subject is a wholesale sale from the current collection. Private label is not the subject of this cart. Those requests are reviewed separately.

The sale is directed to businesses trading as merchants or tradespeople. This text does not describe retail sales to consumers, and it does not automatically apply the unconditional right of withdrawal used in distance consumer contracts.

04Consumer legislation

Approval required

Whether a particular buyer is a consumer in a particular transaction, and whether Law No. 6502 and the Distance Contracts Regulation apply, requires legal approval. This text does not announce, as a final legal conclusion, that those rules never apply.

05Membership and eligibility

Registration collects first name, last name, business name, country, city, telephone, email, website or social account if provided, sales model and password. The password is not stored in plain text. The application stays pending. Prices, cart commerce and direct payment are available only to an approved customer.

A customer login does not grant administrator rights. Approval, suspension or rejection can close commercial access.

06Product information

A product is identified by style code, color and size. Photographs are for identification. Stock shown on the retail site does not represent wholesale production quantity.

Goods are made to order. The standard production lead time for existing catalog products is 10 days. Private label lead time is quoted separately.

07Size assortment

Existing catalog products are sold as a complete size assortment. Every listed size must be ordered in the same whole quantity of at least one unit. An unequal or incomplete size selection does not pass into the cart or the quote request. One quantity is applied to every size.

08Reading the assortment record

Approval required

The company record states that existing products have no fixed minimum quantity and that the order must be placed as a size assortment. How that record is read together with the complete-assortment rule on the payment screen, and whether any exception is allowed, requires owner approval. The payment screen does not apply an exception.

09Price and currency

Wholesale unit prices are in US dollars and exclude VAT. They are shown to an approved account. The buyer cannot submit a price of their own in the payment request. Amounts on an order are frozen from the price at the time of recording.

10VAT and other taxes

Approval required

The price on screen and the PayTR amount exclude VAT. How VAT appears on an invoice, the tax treatment of an export delivery, and tax in the buyer’s country are not fixed in this text. They require tax and legal approval.

11Exchange rate

The TRY amount is calculated on the server with the TCMB foreign-exchange selling rate. The rate is written onto the order. A later movement in the rate does not rewrite an order that has already been recorded.

12Placing an order

A quote request is a request for review. On direct payment, the system creates a pending order and a pending payment attempt. Receipt of the price is recorded when a verified PayTR notification arrives.

13Acceptance of this text

Approval required

The membership screen asks for a tick-box on the privacy notice. The payment screen does not record a separate tick-box or electronic signature for this sales text. The extent to which the payment step binds this text requires legal approval.

14Payment and PayTR

Direct collection takes place on the PayTR payment page. The card number is not entered in a form on this site and is not stored by Laperissa as card data. Laperissa records the payment result and the amount in the verified notification.

Shipping is not added to the PayTR amount. If boxed packing is selected, 75 TRY per unit is included in that amount. The amount excludes VAT.

15Delivery

Delivery is set out on the delivery page. Laperissa pays shipping when the product subtotal is above 50,000 TRY. At 50,000 TRY or below, the customer pays. This threshold is not a promise of worldwide free shipping. No carrier is named.

16Inspection of the goods

Approval required

The buyer is expected to examine the goods on receipt in the ordinary course of business. How the defect-notice rules in the Turkish Code of Obligations and the commercial-notice rules in the Turkish Commercial Code relate to this 14-day company procedure requires legal approval. This text does not add a new number of days to those statutes.

17Defects and manufacturing faults

A return may be requested within 14 days after delivery if the product has a manufacturing defect. This is not an unconditional 14-day right of withdrawal. Mandatory statutory rights are preserved. This 14-day period does not limit those rights.

18Remedy

Approval required

Repair, replacement, a reduction in price, or ending the contract is not pre-selected. The retail return policy does not automatically apply to this channel.

19Cancellation

Approval required

There is no self-service button to cancel after payment. Requests are sent to info@laperissa.com. Whether cancellation is available after production has started, or after payment has been recorded, has not been approved.

20Intellectual property

Approval required

The Laperissa name, catalog photographs and style presentations belong to the seller. The buyer is not granted a licence to manufacture their own collection from those photographs.

On a private-label project, ownership of patterns, artwork and brands is not published on this page unless the project text agrees it separately.

21Commercial confidentiality

Approval required

Wholesale prices are shown to an approved account. No contractual penalty, and no confidentiality period, is published for sharing those prices with third parties.

22Personal data

Personal data in the membership, order and payment records is covered by the privacy policy and the KVKK notice. This agreement does not replace those texts.

23Force majeure

Approval required

How responsibility is divided if an extraordinary event affects the production time, and any penalty or default interest, are not set out in this text.

24Notices

The seller’s notice address is info@laperissa.com and the postal address at the end of this page. The buyer’s notice address is the email stored on the account and on the order. This text does not deem an email delivered at a particular hour.

25Governing law and disputes

Approval required

The seller is a Turkish limited company and the platform is operated from Türkiye. Even so, governing law, venue and arbitration are not published. This page does not choose a city or a court.

26Version and effect

The document version is 1.0. The update date is 9 October 2026. Sections marked approval required are not commitments. If the parties later sign a separate written contract, the relationship between that contract and this page is not treated as agreed here unless the signed text says so.
